Compliance Certification
You and your entity (collectively “you”) warrant and represent that you are committed to conducting business in an ethical, legal and socially responsible manner. As a business partner of Resonac America, Inc. (“REA”), you are fulling compliant with all applicable national and international laws and regulations, corruption and bribery, social and working conditions, child labor, and the outside environment.
Human Rights: In all your activities, you commit to conducting business in compliance with Labor laws, industry standards and the United Nations’ Universal Declaration of Human Rights. You strictly comply with all applicable laws prohibiting discrimination, harassment, human rights abuse and retaliation.
Anti-Corruption and Anti-Bribery: You are committed to conducting your business in accordance with the highest ethical standards. You are committed to comply with all applicable laws and regulations concerning corruption, bribery laws and political contributions. You have never taken and will never take any action to offer, pay, promise to pay, or authorize the payment or giving of money or anything else of value to (1) (i) any person performing services for national or local governments; (ii) any person performing services for an agency or organization affiliated with a governmental entity; (iii) any person performing services for a public enterprise or state-owned enterprise; (iv) any person performing public services for an international public organization; (v) any political party, party official, or candidate for political office; (vi) any person authorized by a governmental entity to perform a public function or (vii) any person performing services for quasi- governmental organization — all of the foregoing being referred to as “Public Officials”– or to (2) any other person while knowing that all or any part of the money or value was or will be offered, given or promised to a Public Official, for the purpose of obtaining or retaining business or securing an improper advantage or influencing official action. Environment: You have established appropriate management policies and procedures to minimize material environmental impacts and comply with all applicable environmental laws, regulations and industry standards, such as requirements regarding industrial wastewater treatment and discharge, air emission controls, recycling, chemical and waste management and disposal, environmental permits and environmental reporting.
Supplier and Subcontractor conduct: You ensure that all your agents, subcontractors and suppliers comply with the requirements of this Compliance Certification.
If you are found or reasonably suspected to be in breach of any of the compliance certification, you must inform REA immediately who then shall have the right to terminate [the relevant Agreement] immediately, unconditionally and without penalty, upon serving us a written notice of termination, in addition to all other rights and remedies therein.
You hereby certify that you comply with all statements in this document. You also understand that REA will perform periodic review of this Compliance Certification and will request you to re-certify compliance of above compliance requirements.
